Statutory Audit Services in the UAE

The law requires an audit. Missing it is not an option.

In the UAE, many companies do not choose whether to be audited. The choice is made for them: by their free zone authority, by their licensing regulator, or by the nature of their business activity. A statutory audit is a legal requirement, and failing to complete it on time can mean rejected license renewals, regulatory fines, frozen bank facilities, or worse.

The good news: a statutory audit is straightforward when handled by people who do it every day.

Inspire MS Tax Consultancy provides statutory audit services across the UAE. We complete your legally required audit correctly, on time, and in the format your authority expects, so compliance is one less thing to worry about.

    Why It Matters

    What is a statutory audit?

A statutory audit is an audit required by law or regulation, as opposed to one a company chooses voluntarily. In the UAE, statutory audit requirements come from several sources:

    • Free zone regulations: most free zone authorities require companies to submit audited financial statements each year as a condition of license renewal
    • Commercial Companies Law: certain company structures and activities carry audit obligations
    • Sector regulators: banks, insurance companies, and other regulated entities face mandatory audit requirements
    • Corporate tax law: the law formally requires audited financial statements for taxable persons with revenue above AED 50 million in a tax period, for every Qualifying Free Zone Person, and for tax groups (Ministerial Decision No. 84 of 2025, which replaced the earlier Decision No. 82 of 2023). For these businesses the audit is not optional

A statutory compliance audit must follow prescribed standards, be performed by qualified independent auditors, and be completed within set deadlines. There is no flexibility on quality or timing, which is why choosing the right audit firm matters.

What triggers a statutory audit in the UAE

    • Commercial Companies Law annual audit — Applies to: All joint stock companies and LLCs. Legal source: Article 27, Federal Decree-Law No. 32 of 2021.
    • Corporate tax audited statements — Applies to: Taxable persons with revenue above AED 50 million, every Qualifying Free Zone Person, and tax groups. Legal source: Ministerial Decision No. 84 of 2025.
    • Free zone license renewal — Applies to: Varies by authority; most zones require annual audited statements (for example, DMCC requires filing within six months of year-end). Legal source: Your free zone authority’s regulations.
    • Lender or regulator requests — Applies to: Banks, investors, and sector regulators may require audited financials. Legal source: Commercial practice or sector rules.

Who needs a statutory audit in the UAE?

    • Free zone companies. This is the largest group. Authorities including DMCC, IFZA, Meydan, DWC, DAFZA, and most others require annual audited financial statements. Deadlines are strict and late submission can block your renewal.
    • Mainland LLCs and establishments. Under Article 27 of the Commercial Companies Law (Federal Decree-Law No. 32 of 2021), every LLC must appoint an auditor for an annual audit of its accounts. This is not size-dependent.
    • Branches of foreign companies. Foreign branches operating in the UAE typically need audited financials for their UAE operations.
    • Regulated entities. Financial services, insurance, and other regulated sectors face mandatory audits under their regulators’ rules.
    • Companies above the corporate tax audit threshold. Taxable persons with revenue above AED 50 million in a tax period must prepare audited financial statements. This AED 50 million threshold is specific to the corporate tax rule; it is not a general audit exemption threshold. Qualifying Free Zone Persons must prepare audited statements regardless of revenue, as a condition of the 0% qualifying income rate.
    • Free zone distributors with AUP duties. Qualifying Free Zone Persons that distribute goods or materials in or from a Designated Zone face an additional duty under FTA Decision No. 6 of 2026: an agreed-upon procedures (AUP) report from a UAE-licensed auditor, for tax periods starting on or after 1 January 2026. This is separate from the annual audit.

    COMMON QUESTIONS

    Frequently Asked Questions

A statutory audit is an audit required by law or regulation rather than chosen voluntarily. In the UAE, the most common trigger is free zone license renewal rules requiring annual audited financial statements. The audit must be performed by independent qualified auditors to recognised standards.
Most free zone companies need one annually for license renewal. Under the Commercial Companies Law, every LLC must appoint an auditor for an annual audit. The corporate tax law adds audited-statement duties for large taxpayers, Qualifying Free Zone Persons, and tax groups. Regulated sectors have their own mandates. If you are unsure, we can confirm your specific obligation quickly.
Consequences range from late penalties to blocked license renewals, which can freeze your ability to operate, invoice, or sponsor visas. Banks may also restrict facilities. It is far cheaper to complete the audit on time than to fix the fallout.
In practice they are very similar in method. The difference is the driver: a statutory audit is legally required, with prescribed standards and deadlines, while a voluntary external audit is commissioned for business reasons such as investor confidence or bank requirements.
Yes. We regularly perform backlog statutory audits for companies that missed prior years, bringing them fully compliant. It is better to fix this proactively than to have an authority discover it.
Typically two to four weeks for a small to mid-sized company once we have complete documents. We recommend starting at least two months before your filing deadline to allow comfortable buffer time.
Trade license, memorandum of association, full accounting records, bank statements, invoices, contracts, payroll records, and prior year financials. We provide an exact checklist at the start.
The audit opinion is the auditor's formal conclusion. A clean (unmodified) opinion means the statements are fairly presented. A qualified audit opinion flags specific issues that do not undermine the statements as a whole. An adverse audit opinion means the statements are materially misstated. A disclaimer of opinion means the auditor could not obtain enough evidence to form a view. We explain which applies and why, in plain language.
Three reasons. The Commercial Companies Law requires every LLC to appoint an auditor for an annual audit. Most free zone authorities require audited statements for license renewal. And the corporate tax law requires audited financial statements for taxable persons with revenue above AED 50 million, for every Qualifying Free Zone Person, and for tax groups.
A statutory audit gives an opinion on whether financial statements are fairly presented. An AUP (agreed-upon procedures) engagement performs prescribed procedures and reports the factual findings, without giving any assurance conclusion. For example, FTA Decision No. 6 of 2026 requires Designated Zone distributor QFZPs to obtain an AUP report confirming the evidence behind their qualifying activity, separate from their annual audit.
