Closing a company the wrong way leaves liabilities open for years

Company Liquidation Services in the UAE

Many business owners think closing a UAE company is simple: stop trading, let the license expire, walk away. It is not. An improperly closed company keeps accumulating obligations: license renewal fines, visa liabilities, VAT and corporate tax exposures, and potential personal liability for shareholders and managers.

We regularly meet owners who “closed” their business years ago and are still dealing with the consequences.

Inspire MS Tax Consultancy provides complete company liquidation services across the UAE. We close your company properly: settling liabilities, clearing tax positions, cancelling visas and licenses in the right order, so nothing comes back to haunt you.

    What is company liquidation?

Company liquidation is the formal legal process of closing a business: settling its debts, distributing remaining assets, cancelling its license, and removing it from official registers. In the UAE, this involves coordinated steps across multiple authorities:

    • The licensing authority (DED for mainland, the free zone authority for free zone companies)
    • Immigration and labour authorities (visa and work permit cancellations)
    • The Federal Tax Authority (VAT and corporate tax deregistration)
    • Banks, landlords, and creditors (settlements and clearances)
    • A licensed liquidator, mandatory for LLCs and joint stock companies, who oversees the process and issues the liquidation report. Sole establishments and civil companies follow a simplified cancellation without a licensed liquidator.

Skipping steps or doing them in the wrong order creates delays, fines, and in some cases personal liability. A proper liquidation closes every door cleanly.

    Why proper liquidation matters

    • Ongoing fines stop only when the license is cancelled. An expired but uncancelled license keeps generating renewal penalties year after year.
    • Visas must be cancelled correctly. Employee and investor visas tied to the company need proper cancellation, or immigration liabilities remain.
    • Tax positions must be closed. VAT deregistration and corporate tax deregistration have their own procedures and timelines. Unclosed tax files invite future FTA inquiries.
    • Creditors and contracts need settlement. Unresolved debts, bounced cheques, and disputed contracts can follow shareholders personally.
    • Future business is protected. Owners with messy closures face difficulties opening new companies, obtaining visas, or passing bank due diligence later.

    Our company liquidation services

    Complete Liquidation Management

We manage the entire liquidation process from board resolution to final license cancellation, coordinating every authority in the correct sequence.

    Liquidator Services Coordination

We work with registered liquidators to prepare the liquidation report and complete the formalities your licensing authority requires.

    Tax Deregistration

VAT deregistration and corporate tax deregistration with the FTA: final returns filed, liabilities settled, and tax files properly closed. VAT deregistration must be applied for within 20 business days of ceasing operations, and late FTA deregistration carries penalties of AED 1,000 per month or part of it, capped at AED 10,000, so this step runs in parallel with the licence cancellation, never after it. This is where our FTA-approved expertise matters most.

    Visa and Labour Clearances

Cancellation of employee visas, investor visas, work permits, and labour cards, with end-of-service settlements calculated correctly.

    Creditor Settlement Support

Assistance with settling outstanding liabilities, obtaining no-objection clearances, and documenting the settlement trail.

    Final Audit and Accounts

Preparation of final financial statements and liquidation audit where required by the licensing authority.

    Our liquidation process

    Step 1: Assessment

We review your company’s position: licenses, visas, tax registrations, debts, assets, and contracts, then give you a clear liquidation plan with timeline and costs.

    Step 2: Board resolution

Formal shareholder resolution to liquidate, prepared and attested as required.

    Step 3: Notifications

Required announcements and notifications to creditors and authorities, per your jurisdiction’s rules. For mainland companies this includes a liquidation notice published in Arabic newspapers, followed by a roughly 45-day period for creditor objections. Free zone closures usually do not require newspaper publication.

    Step 4: Settlements

Outstanding liabilities settled, assets distributed, clearances obtained from banks, landlords, and utilities.

    Step 5: Tax closure

FTA clearance: VAT deregistration (applied for within 20 business days of ceasing operations, final return within 28 days of the final tax period, VAT accounted for on remaining stock and assets) and corporate tax deregistration (applied for within 3 months of the cessation event, final return to the cessation date). Clearance certificates from the FTA.

    Step 6: Visa cancellations

All visas and permits cancelled in the correct order.

    Step 7: License cancellation

Final submission to the licensing authority with the liquidator’s report, resulting in formal license cancellation and company dissolution.

    Mainland vs free zone liquidation

Mainland: Mainland liquidation goes through the DED with additional steps for labour, immigration, and municipality clearances. Timelines depend on the emirate and the company’s complexity.

Free zone: Free zone liquidation follows the specific free zone authority’s procedure, which varies by zone. Some zones are fast and streamlined; others require more documentation. We know the procedures of all major zones.

Offshore: Offshore company closure involves striking off or formal dissolution with the offshore registry, plus settlement of any registered agent obligations.

In every case, tax deregistration with the FTA runs as a parallel track that must be completed properly.

    Why Choose Us

Why choose us for company liquidation

Working with a professional team ensures that your company liquidation is managed efficiently, reducing legal risks and saving valuable time and resources. Our experts handle every detail with accuracy and transparency for a seamless experience.

    The tax side done right

Most liquidation agents focus on the license and forget the FTA. As an FTA-approved tax agency (TAN#30001622), we close your VAT and corporate tax files completely, so no surprise assessments arrive later.

    Correct sequencing

Liquidation steps must happen in the right order. Wrong sequencing causes rejections and restarts. We have done this many times and get the order right.

    Creditor and clearance handling

We manage the practical mess: settlements, NOCs, and clearances, not just the paperwork.

    Fixed pricing

You know the full cost before we start, including government fees and liquidator charges.

    Confidential and respectful

Closing a business is often difficult personally. We handle it professionally and discreetly.

    COMMON QUESTIONS

    Frequently Asked Questions

Typically two to four months for a straightforward case, longer if there are debts, disputes, or missing documents. Mainland LLCs take longer by design: the Arabic newspaper notice starts a roughly 45-day creditor objection window before final approvals can be issued. Tax deregistration timelines run in parallel. We give you a realistic schedule after the initial assessment.

Costs include government fees, liquidator fees, and our service charges, varying by jurisdiction and complexity. As a rough guide: Dubai mainland cancellation government fees are around AED 3,530, newspaper announcements AED 1,000-3,000, plus liquidator fees, final audit fees and visa cancellations. Free zone closures vary by authority. We provide a fixed, itemised quote after assessing your company's position.

This is the most expensive mistake owners make. An uncancelled license accumulates renewal fines, visa liabilities remain open, and tax files stay active. Formal liquidation is the only clean exit.

All employment visas must be cancelled or transferred, with end-of-service benefits settled according to UAE labour law. We calculate entitlements and manage the cancellation process.

Yes. VAT deregistration and corporate tax deregistration are separate FTA procedures with separate requirements and timelines. Both must be completed, and final returns filed for each.

Debts must be settled as part of liquidation. We help you assess the position, negotiate where appropriate, and document settlements. Ignoring creditors during liquidation creates personal liability risks.

No. Cancelling the licence ends your right to trade. Liquidation is the legal process of settling the company's debts, selling assets and distributing what remains. Deregistration is separate again: closing your VAT and corporate tax registrations with the FTA. A clean exit needs all three, and skipping the tax steps leaves personal liability behind.

Some licensing authorities let you freeze a licence for a period, but your VAT and corporate tax registrations cannot be paused, and the deregistration steps still run. If you plan to return, we compare the cost of freezing against a clean closure and reopening later.

Yes. Sole establishments and civil companies do not need a licensed liquidator and follow a simplified cancellation, and some authorities let you freeze the licence for up to a year before cancelling. We confirm the exact route for your licence.

Yes. UAE rules require companies to keep accounting and tax records for seven years, and that duty survives closure. Audit look-back risk continues after the licence is gone, so we tell you exactly what to keep and for how long.

Yes, and a clean liquidation actually helps: banks, authorities, and partners view a properly closed company far more favourably than an abandoned one. Many of our liquidation clients go on to set up new ventures with us.

Trade license, memorandum of association, shareholder passports and Emirates IDs, recent financials, and details of visas, debts, and assets. We provide an exact checklist after the initial discussion.

    Close this chapter cleanly

A proper liquidation protects your money, your record, and your future business plans.
